Terms of Service

By accessing, registering on, or otherwise using the GemHoldings platform (the "Platform"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you do not agree to these Terms, you must immediately cease use of the Platform. These Terms constitute a legally binding agreement between you and GemHoldings Ltd., a company incorporated in England and Wales (Registration No. 0298461), hereinafter referred to as "GemHoldings", "we", "us", or "our".

To use the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
• Have full legal capacity to enter into a binding agreement.
• Not be a resident of a country subject to financial sanctions or where copy trading services are prohibited by law.
• Not have been previously suspended or removed from the Platform by GemHoldings.

GemHoldings reserves the right to verify your eligibility at any time and to suspend accounts that do not meet these criteria without prior notice.

To access Platform features, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the security and confidentiality of your password and account credentials.
• Notify us immediately at support@gemholdings.com of any unauthorized use of your account or security breach.
• Accept responsibility for all activities occurring under your account, whether or not authorized.

You may not use another user's account without their explicit written permission. GemHoldings cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

GemHoldings provides a technology platform that enables users to:

• Follow and copy the trading strategies of registered professional traders.
• Access real-time and historical market data across multiple asset classes.
• Receive trading signals generated by our algorithm and vetted traders.
• Manage portfolio allocation, deposit funds, and track performance.

GemHoldings acts as a technology intermediary only. We do not provide investment advice, portfolio management services, or guarantees of profit. All trading decisions "" including the choice to follow a particular trader "" remain entirely the responsibility of the user.

You agree that you will not, directly or indirectly:

• Use the Platform for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any portion of the Platform or its infrastructure.
• Transmit any malware, viruses, or harmful code through the Platform.
• Engage in market manipulation, wash trading, or any form of deceptive trading activity.
• Use automated bots, scrapers, or scripts to access the Platform without written permission.
• Impersonate any person or entity, or misrepresent your affiliation with any entity.
• Conduct money laundering, terrorist financing, or any other financial crime using the Platform.

Violation of this section may result in immediate account suspension, legal action, and reporting to relevant authorities.

Past performance of any trader listed on the Platform is not a reliable indicator of future results. You acknowledge that:

• Copy trading involves replicating the decisions of another individual whose risk tolerance, financial situation, and goals may differ significantly from your own.
• Market conditions can change rapidly and without warning.
• GemHoldings does not guarantee that any trader will achieve positive returns.

All content, features, algorithms, and functionality of the Platform "" including but not limited to text, graphics, logos, icons, images, and software "" are owned by GemHoldings Ltd. and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform strictly for personal, non-commercial purposes, subject to these Terms. This licence does not include the right to resell, reproduce, distribute, publicly display, or create derivative works from any Platform content.

To the maximum extent permitted by law, GemHoldings, its directors, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, goodwill, or other intangible losses.
• Losses resulting from unauthorized access, hacking, or data breach beyond our reasonable control.
• Trading losses incurred while copying any trader on the Platform.

Our aggregate liability to you for any claims arising from these Terms shall not exceed the greater of (a) the total fees you paid to us in the twelve months preceding the event giving rise to the claim, or (b) £100 GBP.

GemHoldings reserves the right to suspend or permanently terminate your account at any time, without prior notice, if we determine you have violated these Terms, applicable law, or pose a risk to other users or the Platform.

You may close your account at any time by contacting support. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property rights, liability limitations, and dispute resolution clauses.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, England.

GemHoldings reserves the right to modify these Terms at any time. We will notify registered users of material changes by email or Platform notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

We recommend reviewing these Terms periodically. The "Last updated" date at the top of this document indicates when revisions were last made.
